Terms of Service

Welcome to BulkDrop, an online platform that facilitates the person-to-person sale of used goods, including garage sale and bulk items ("Platform"). These Terms of Service ("Terms") govern your access to and use of the BulkDrop mobile application, website, and related services (collectively, the "Services") provided by BulkDrop, Inc. ("BulkDrop," "we," "us," or "our"), a company based in California. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.

1. Acceptance of Terms

By registering for, accessing, or using the Services, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

  • You must be at least 18 years old to use the Services.
  • You must reside in the United States or its territories.
  • You must provide accurate, complete, and up-to-date account information.
  • You may not use the Services if you have been previously banned or removed from the Platform.

3. Use of the Services

3.1 Account Registration

To use certain features of the Services, you must create an account ("Account"). You agree to:

  • Provide accurate and complete information during registration.
  • Maintain the security of your Account by keeping your login credentials confidential.
  • Notify us immediately of any unauthorized use of your Account at bulkdropapp@gmail.com .
  • Be responsible for all activities that occur under your Account.

3.2 Permitted Use

You may use the Services to list, browse, buy, or sell used goods, including garage sale and bulk items, in accordance with these Terms. You agree not to list, sell, or purchase:

  • Prohibited Items, including but not limited to:
  • Firearms, weapons, or ammunition.
  • Illegal drugs or controlled substances.
  • Stolen goods or counterfeit items.
  • Hazardous materials or restricted items under U.S. or California law.
  • Age-restricted items without proper verification (see Section 3.4.4).
  • Recalled Products: Items subject to safety recalls issued by the Consumer Product Safety Commission (CPSC) or other federal, state, or local authorities, such as defective electronics, toys, or appliances.
  • Items Without Proper Documentation: Goods requiring legal documentation for sale (e.g., vehicles without a valid title, electronics with removed or altered serial numbers, or items subject to intellectual property restrictions) to prevent fraud or illegal transactions.
  • Items Requiring Local Permits: Goods subject to local ordinances or permit requirements, such as secondhand dealer permits in California for high-value items like jewelry, electronics, or collectibles, unless you possess the required permits or licenses.
  • Engage in fraudulent, deceptive, or misleading practices.
  • Post content that is defamatory, obscene, or violates the rights of others.
  • Use automated tools (e.g., bots, scrapers) to access or collect data from the Services without our express permission.

You are solely responsible for ensuring that your listings and transactions comply with all applicable federal, California, and local laws, including obtaining any necessary permits or licenses. 3.3 Transactions

BulkDrop provides a platform for users to connect and conduct person-to-person transactions. You acknowledge that:

  • BulkDrop is not a party to any transaction between buyers and sellers.
  • You are solely responsible for verifying the identity, legitimacy, and quality of goods in any transaction.
  • BulkDrop does not guarantee the accuracy of listings or the performance of any buyer or seller.
  • All transactions are at your own risk, and you agree to resolve disputes directly with the other party.

3.4 User Safety

To promote a safe and trustworthy environment for person-to-person transactions, you agree to comply with the following safety provisions:

3.4.1 Meeting Safety Guidelines

For in-person transactions, we strongly recommend the following safety practices:

  • Meet in a public, well-lit location, such as a police station, shopping mall, or designated safe exchange zone.
  • Avoid meeting in private or isolated areas.
  • Bring a friend or family member, or inform someone of your meeting details, including the time, location, and the other party’s contact information.
  • Inspect goods thoroughly before completing a transaction.
  • Use secure payment methods and avoid carrying large amounts of cash.

BulkDrop is not responsible for any incidents arising from in-person meetings, but we encourage you to prioritize your safety and report any concerns (see Section 3.4.3).

3.4.2 Identity Verification Requirements

To enhance trust and reduce fraud, BulkDrop may require users to verify their identity before engaging in certain activities (e.g., listing high-value items or completing transactions above a certain threshold). Verification may include:

  • Providing government-issued identification.
  • Confirming email or phone number.
  • Linking a verified payment method.

You agree to provide accurate and truthful information during the verification process. Failure to comply may result in suspension or termination of your Account.

3.4.3 Fraud Reporting Mechanisms

If you suspect fraudulent activity, scams, or unsafe behavior on the Platform, you must report it immediately to Support@BulkDropapp@gmail.com or through the in-app reporting feature. Reports should include:

  • A description of the issue (e.g., suspected fraud, counterfeit goods, or harassment).
  • Relevant details, such as the other user’s profile, listing, or transaction details.
  • Any supporting evidence (e.g., screenshots or messages).

BulkDrop will investigate reported issues and may suspend or terminate Accounts involved in fraudulent or harmful behavior. We may also cooperate with law enforcement as required by law.

3.4.4 Age Verification for Certain Items

Certain items (e.g., alcohol, tobacco, or other age-restricted products) may only be listed or purchased by users who meet the applicable legal age requirements under federal or California law. If you list or purchase such items, you may be required to:

  • Verify your age through a government-issued ID or other approved method.
  • Confirm compliance with all applicable laws governing the sale or purchase of age-restricted items.

You are solely responsible for ensuring compliance with age restrictions, and BulkDrop reserves the right to remove listings or suspend Accounts that violate these requirements.

4. Privacy and Data Protection

4.1 Commitment to Privacy

BulkDrop does not sell, trade, or otherwise transfer your personal information to third parties for marketing purposes. We collect and use your personal information, including information provided for identity or age verification, solely to provide and improve the Services, as outlined in our Privacy Policy.

4.2 California Consumer Privacy Rights

As a California resident, you have certain rights under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), including:

  • Right to Know: You may request information about the categories of personal information we collect, the purposes for which it is used, and whether it is disclosed to third parties.
  • Right to Delete: You may request deletion of your personal information, subject to certain exceptions.
  • Right to Opt-Out: You may opt out of the sale or sharing of your personal information. BulkDrop does not sell your personal information.
  • Right to Non-Discrimination: We will not discriminate against you for exercising your privacy rights.

4.3 Compliance with Laws

We comply with all applicable U.S. and California data protection laws, including the CCPA/CPRA and other state privacy laws.

5. Payments

5.1 Payment Processing

BulkDrop may facilitate payments through third-party payment processors (e.g., Stripe, PayPal). By using these services, you agree to comply with the terms of the applicable payment processor.

5.2 Fees

BulkDrop charges a 10% transaction fee to the seller on the total sale amount of each completed transaction through the Platform. This fee will be clearly disclosed to the seller before the transaction is finalized and will be automatically deducted from the seller’s payment upon completion of the transaction. All fees are non-refundable unless otherwise stated. Additional fees (e.g., listing fees or premium feature fees) may apply to certain Services, and any such fees will be clearly disclosed before you incur them.

5.3 Taxes and IRS Form 1099-K Reporting

You are solely responsible for determining and paying any applicable taxes related to your transactions on the Platform, including sales, use, or value-added taxes, in accordance with federal, California, and local laws. If BulkDrop facilitates payments through a third-party payment processor or directly processes payments, we may be required to report certain transactions to the Internal Revenue Service (IRS) and issue IRS Form 1099-K to users who meet the reporting threshold. As of 2025, BulkDrop will issue a Form 1099-K to users who receive payments exceeding $600 in aggregate during a calendar year for goods sold or services provided through the Platform, in accordance with IRS regulations. You agree to provide accurate taxpayer information (e.g., name, address, Taxpayer Identification Number) if requested to facilitate compliance with these reporting obligations. BulkDrop is not responsible for determining your tax liability or providing tax advice; you should consult a tax professional for guidance.

6. Intellectual Property

6.1 Ownership

All content, trademarks, and materials on the Services, including but not limited to text, graphics, logos, and software, are the property of BulkDrop or its licensors and are protected by U.S., California, and international copyright, trademark, and other intellectual property laws.

6.2 User Content

By posting content (e.g., listings, images, or reviews) on the Services, you grant BulkDrop a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content solely for the purpose of operating and promoting the Services. You represent that you have all necessary rights to post such content and that it does not violate any third-party rights or applicable laws.

7. Termination

7.1 By You

You may terminate your Account at any time by following the instructions in the Services or contacting us at Support@BulkDropapp@gmail.com.

7.2 By BulkDrop

We may suspend or terminate your access to the Services at our sole discretion, with or without notice, if:

  • You violate these Terms or any other BulkDrop policy.
  • Your actions pose a risk to the safety or security of the Platform or other users.
  • Required by law or to protect our legal interests.

Upon termination, your right to use the Services will cease immediately, and we may delete your Account and associated data, subject to applicable law, including California privacy laws.

8. Disclaimers and Limitation of Liability

8.1 No Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. BulkDrop does not warrant that the Services will be uninterrupted, error-free, or secure.

8.2 Limitation of Liability

To the maximum extent permitted by law, including California law, BulkDrop and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of profits, data, or goodwill. Our total liability for any claim arising from these Terms or the Services will not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

8.3 Assumption of Risk

You acknowledge that buying and selling used goods involves inherent risks, including the risk of fraud, defective items, or non-delivery. BulkDrop is not responsible for any losses or damages resulting from transactions conducted through the Services.

9. Indemnification

You agree to indemnify, defend, and hold harmless BulkDrop and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Services.
  • Your violation of these Terms or applicable U.S. or California law.
  • Your content or transactions on the Platform.
  • Your infringement of any third-party rights.

10. Dispute Resolution and Governing Law

10.1 Governing Law

These Terms and your use of the Services are governed by the laws of the State of California, without regard to its conflict of laws principles, except where federal law applies.

10.2 Arbitration

Any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration will be conducted in San Diego, California, and the arbitrator’s decision will be final and binding. You agree to waive your right to a jury trial or to participate in a class action lawsuit. Each party will bear its own costs and attorneys’ fees, unless otherwise required by law, including California consumer protection laws.

10.3 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction in San Diego, California, to protect intellectual property or other rights.

11. Compliance with App Store Policies

BulkDrop complies with the policies of the Apple App Store and Google Play Store, including but not limited to:

  • Content Guidelines: Prohibiting offensive, illegal, or harmful content, as outlined in Section 3.2.
  • In-App Purchases: Any in-app purchases (e.g., premium features) will comply with Apple and Google’s payment processing requirements.
  • User Safety: Implementing measures to protect users from fraud and harmful behavior, as outlined in Section 3.4.
  • Privacy: Adhering to app store privacy and data protection requirements, including those aligned with California privacy laws.

12. California Electronic Commerce Act Notice

Pursuant to California Civil Code Section 1789.3, California residents are entitled to the following consumer rights notice:

13. Modifications to the Terms

We may update these Terms from time to time to reflect changes in our Services or applicable laws, including California laws. We will notify you of material changes by posting the updated Terms on the Platform or through other reasonable means (e.g., email or in-app notification). Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and BulkDrop regarding the Services.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable under California or federal law, the remaining provisions will remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
